Is there any good reason for the PEC bylaws to not include this language?

PEC funds shall not be used for any charitable contribution without prior board approval.  A commitment to use PEC funds for any charitable contribution shall not be made without board approval, nor shall any such commitment be valid without board approval. 

After all, PEC money belongs to PEC members. Discretionary spending of that money should be decided by the PEC members' representatives, the board.
